Terms and Conditions of Sale

1. Exclusion of all Warranties Except Goods of a Specified Type and Quality
BendPak Inc. expressly warrants that the goods are of the type and quality specified in this contract. Except as otherwise provided, the quality of the goods shall conform to BendPak Inc.’s specifications. This warranty is in lieu of all other warranties, including implied warranties of fitness for a particular purpose and merchantability. The suitability of goods for the buyer's intended use is the buyer’s responsibility. Some states do not allow for the exclusion of consequential damages or the limitation of implied warranties, so these exclusions may not apply.

2. Terms of Payment
Payment for all goods is due upon delivery unless otherwise agreed in writing. Interest will accrue on overdue accounts at the maximum rate allowed by law.

3. Revocable on Nonpayment
BendPak Inc. may terminate this contract if the buyer fails to pay as agreed, and all prior shipments will not affect this right. BendPak Inc. reserves the right to demand payment on delivery or upon tender of shipping documents.

4. Acceptance of Terms
A quotation, order, or contract is not binding until accepted in writing by an officer of BendPak Inc. at its general office. Until accepted, the contract is subject to change without notice.

5. Risk of Loss or Damage
The buyer assumes all risks of loss, damage, or destruction of goods once delivered to the carrier. Claims for shipping-related losses should be made directly to the carrier.

6. Right of Inspection
The buyer has the right to inspect the goods at the time of delivery. Any claims for damage or dissatisfaction must be made within 15 days of delivery and before installation. Failure to do so constitutes acceptance of the goods.

7. Damages
BendPak Inc. is not liable for any direct, incidental, or consequential damages, including lost profits, even if the possibility of such damages was known. Once the buyer has accepted the goods, they assume all risks for loss or damage.

8. Cancellation
Order cancellations must be approved by BendPak Inc., and may incur restocking fees and other charges.

9. Product Returns
Returns must be made within 14 days of purchase. Authorization is required, and products must be in original, unused condition. Proof of purchase is necessary.

10. Excuse for Non-Performance
BendPak Inc. is not liable for delays or non-performance due to unforeseen events, including strikes, natural disasters, or other causes beyond its control.

11. Waiver
A waiver of breach or default does not waive future defaults of a similar or different nature.

12. Modification and Integration
This contract cannot be modified except in writing. It supersedes all prior agreements or understandings.

13. Choice of Law
This contract shall be governed by the laws of California. Any disputes shall be resolved in Ventura County, California.

14. Attorney’s Fees
If BendPak Inc. must retain legal counsel to enforce this contract, the buyer will pay reasonable attorney’s fees and related costs.

15. Severability
If any provision of this contract is found to be void or unenforceable, the remaining provisions shall remain in effect.

16. Arbitration
Any disputes shall be settled through final and binding arbitration in accordance with the commercial rules of the American Arbitration Association.

Order Change Fees

Order Modifications

  • Pending Stage: No fees for changes before the order enters production.
  • Production Stage: $45 non-refundable fee for any change, including product adjustments or shipping information. Multiple changes will incur additional $45 fees.
  • Shipment Stage: $75 non-refundable fee for changes. Charges apply even if changes cannot be completed.

  • Pending Stage: No fee if canceled before production begins.
  • Production Stage: $75 non-refundable fee.
  • Shipment Stage: $125 non-refundable fee for cancellations before shipment.


Orders refused at delivery will incur return fees, including shipping charges.

How long do I have to modify my order?
Typically, you have 30 minutes from the time of order placement to make changes without incurring any fees. After this, changes may incur fees depending on the production and shipping stage.

Can I cancel my order?
Order cancellations can only occur at specific stages. If cancellation is possible after production or shipment, fees will apply. If the order has shipped, it will be treated as a return.
